Under the present law every Jersey company must have a registered office in the Island, but there is no penalty for a breach of this requirement.
In addition, there is nothing in the law to prevent a company giving any address as its registered office – even if the occupier of the property is unaware that this has been done.
The position paper says that it is ‘vital that a mechanism exists which ensures that the address given as the registered office is bona fide’.
It concludes that all companies registry correspondence should in future be sent to the registered office and that it should be made clear to anyone who is unwittingly providing a registered office service that they can inform the registrar that this is the case.
